Hi... can any one please suggest what to select in the following situation (for link exchange purpose)

I have two options for link exchange. One wiebsite with good pr (you can say 4 or more but not related to my industry) , while another site is from my own industry but hardly have pr1 or pr0. Both are allowing me to place my website link on thier site. So in this situation which link-exchange practice will be the best option? and why?

I have a question regarding the Google Directory. I have submitted to it on two occasions and have waited several years between those attempts and have not been successful in getting added to the directory. My domain name is chakery.com and is a legitimate site that ranks well, however another site shows up at the very top because it has basically copied content from my site and shows up number one when you go to the google directory and enter in my company name "chakery design" without the quotations. My question is.. what do I do in a case like this where there is no one to call or email in a situation where that other company is showing up in the directory when you type in my company name yet I am not even included in the directory at all? Your help would be greatly appreciated. Thank you..

I know a website that was banned for spam and link farm tactics. They have now reappeared after being banned under different domain names in an attempt to fool Google. Is there another way other then Google spam form to report them?
