I am looking for YouTube clone script including the way ads are shown before or in between video feature. I am kind of looking for an EXACT CLONE of YouTube. Any suggestions please?

It can be a totally independent script or a theme based on something thing like wordpress. Cost is not a constraint as long as it does what it is supposed to do perfectly and with minimal known bugs.

I have explored PHPmotion,agriya and wordpress themes and found VideoCraft, TrueMag to be a bit closer.

Your best bet is buy a clone script then hire freelance to customize it at later stage.
Don't ever buy those so called clone youtube script as it contain a lot of bug.
